Job Summary
Mariana Minerals is seeking an experienced Commercial Counsel to join its growing legal team and support procurement, construction, and project delivery teams.

This role focuses on commercial contracts, vendor and contractor relationships, procurement agreements, construction-related legal support, contract workflows, and scalable legal infrastructure.

Key Responsibilities

  • Lead drafting, review, and negotiation of commercial agreements, including NDAs, MSAs, supply agreements, procurement agreements, offtake agreements, software agreements, and professional services agreements
  • Support vendor and contractor relationships that power mining operations, equipment supply, engineering services, and construction contracts
  • Build and maintain scalable contract playbooks, standard form agreements, fallback positions, and negotiation guidelines
  • Enable efficient and consistent contracting across the organization
  • Collaborate with cross-functional teams to improve contract workflows, negotiation, tracking, and execution
  • Identify opportunities to streamline contracting processes and leverage automation
  • Provide practical and business-oriented legal advice on IP issues, risk mitigation, and contract interpretation
  • Support procurement, construction, project delivery, and other operational teams on commercial legal matters
  • Assist the legal team with ad hoc matters as needed
  • Travel as needed for limited business or project requirements

Skills
– J.D. from an accredited law school and active bar membership in good standing
– 5-7+ years of experience as a transactional or commercial attorney

  • Experience drafting and negotiating commercial contracts
  • Law firm and/or in-house legal experience
  • Strong drafting, negotiation, and analytical skills
  • Ability to translate complex legal issues into clear guidance for non-legal stakeholders
  • Ability to work independently with limited direction
  • Strong prioritization skills in a fast-moving environment
  • High degree of ownership and accountability
  • Experience in mining, energy, construction, or another capital-intensive industry
  • Experience supporting large-scale commercial contracting projects
  • Business-oriented approach to legal risk and decision-making
